1. Acceptance of Terms
By accessing and using AdReady (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. AdReady reserves the right to modify these terms at any time. Changes become effective upon posting to the Platform, and your continued use constitutes acceptance.
2. What AdReady Is
AdReady is a marketplace that connects creators with brands and advertisers for ad read sponsorships. We facilitate the booking, negotiation, and delivery of sponsored content deals directly between creators and advertisers. AdReady is not a talent agency and does not employ creators or brands on the marketplace. We are a transaction facilitator, not a party to any sponsorship agreement between creators and brands.
3. Account Types and Eligibility
AdReady supports three account types:
- Creators - Content creators who offer to deliver sponsored reads on their channels
- Brands - Advertisers seeking to book sponsored content directly with creators
- Agencies - Third parties managing creator campaigns on behalf of brands
To use AdReady, you must be at least 18 years old and have the authority to enter into binding agreements. You are responsible for ensuring your account information is accurate and current. You may not use the Platform if you are prohibited by law or these terms.

5. Payment Terms
For Brands: AdReady charges a 15% flat fee on all deal amounts paid to creators. This fee covers transaction processing, payment protection (escrow for prepaid deals, or invoicing and collection for Net 30 deals), and dispute resolution. The fee is calculated on the total creator payment and is non-refundable once a deal is delivered and approved.
How Brands Pay: By default, deals are prepaid: the brand pays the creator's rate plus the 15% fee by card at checkout, and AdReady holds the payment until the delivery is approved. Brands and agencies approved for Net 30 terms are not charged at booking; instead they are invoiced as described in "Net 30 Terms" below.
For Creators: There are no fees charged to creators. You receive 100% of the agreed deal amount. On a prepaid deal, payment is released when the brand approves your completed read (or it is approved automatically), and typically reaches your bank within 2 business days. On a Net 30 deal, payment is released within 2 business days after the brand's invoice payment clears. The payment terms for each deal, including an expected payout date for Net 30 deals, are shown before you accept it, and you may decline any deal whose terms do not suit you.
For Agencies: Fees are negotiated separately and handled outside the marketplace.
Payment Processing: All payments are processed through Stripe. For prepaid deals, you authorize Stripe to charge your payment method for the total amount (including the 15% service fee). For Net 30 deals, invoices are issued through Stripe and may be paid by bank transfer or online through the link on the invoice.
Refunds: Once a deal is delivered and approved, payment is released to the creator and is non-refundable. If a prepaid deal is cancelled before production begins, the payment is refunded to the original payment method. Disputed refunds are resolved at AdReady's discretion.
Net 30 Terms: Brands and agencies may apply for Net 30 terms. Approval, the credit limit, and any later change to either are at AdReady's discretion. The person who signs the Net 30 application confirms they are authorized to bind the company, and the terms accepted in that application form part of these Terms. For accounts on Net 30:
- Nothing is charged at booking. AdReady issues an invoice to the account's accounts-payable contact when the brand approves the delivery (or the delivery is approved automatically), for the creator's rate plus the 15% fee.
- Invoices are due 30 days from the date of issue. Past-due balances accrue interest at 1.5% per month, or the maximum rate permitted by law, whichever is less.
- If a payment method is on file, AdReady may charge it for the full amount of an invoice that is more than one day past due.
- If an invoice goes past due, AdReady may suspend Net 30 terms, and new bookings return to prepayment until the balance is paid. AdReady may also pursue collection of any unpaid balance.
- A new booking that would take the account's unpaid balance above its credit limit is prepaid instead.
- An agency on Net 30 contracts with AdReady as principal. Its obligation to pay AdReady is not contingent on its client paying the agency.
- Creators on Net 30 deals are paid after the brand's payment clears, as described above. A brand's failure to pay does not reverse a completed deal or count against the creator's record.
6. Content and Intellectual Property
Creators retain all rights to their original content and channels. By posting content on your profile, you grant AdReady a non-exclusive, worldwide license to display that content on the Platform for promotional purposes.
Brands retain ownership of any briefs, creative guidelines, or materials they provide. Creators may not reuse brand materials without permission.
Neither party grants the other party any rights to use their name, likeness, or brand for marketing purposes beyond what is explicitly agreed in the deal terms.
7. Add-ons: Exclusivity, Usage Rights and Rush Delivery
Add-ons are priced extras agreed as part of a deal. A creator accepts them when they accept the deal, and a brand buys them when they book. These are what they mean.
Category exclusivity
No competing sponsor in the named category for 60 days from delivery.
- The brand names the category when it books, in plain words, and the creator sees it before accepting. “Online job boards and recruiting” is a category. “Anything we might compete with” is not, and will not be enforced.
- For 60 days from the delivery date, the creator will not publish a sponsored placement for another advertiser in that category, on the channel this deal was booked for.
- It applies to placements booked after this deal is accepted. Sponsorships the creator had already agreed, and existing ongoing relationships, are not affected.
- It covers the channel this deal was booked for. Other channels and platforms the creator operates are not covered unless the deal says so.
- It does not stop the creator making unsponsored content about anything, including the category or the brand.
Usage rights
The brand may run the delivered content as paid advertising on the brand’s own accounts.
- The brand may use the content the creator delivered for this deal as paid advertising on accounts the brand owns, for the period bought (30, 60 or 90 days from delivery).
- This does not include running ads through the creator’s own account or handle. That is whitelisting, it is a separate add-on, and it needs the creator to grant access deliberately rather than as a side effect of this one.
- It does not include editing the content in a way that changes what the creator said, or using it to imply an endorsement the creator did not give.
- When the period ends the brand stops running it as paid advertising. The creator is not required to take the original placement down, and the brand is not required to delete what it already published organically.
- It covers this content. It does not give the brand a licence to the creator’s name, likeness or back catalogue for anything else.
Rush delivery
Delivery sooner than the creator’s stated turnaround. The date is on the deal; this add-on is what pays for it.
8. Prohibited Conduct
You agree not to:
- Violate any applicable laws or regulations
- Engage in fraud, deception, or misrepresentation
- Harass, threaten, or defame any user or third party
- Infringe on any intellectual property rights
- Transmit viruses, malware, or harmful code
- Bypass security measures or interfere with Platform operations
- Undermine the Platform fee structure by arranging payments outside AdReady
- Post illegal, defamatory, or sexually explicit content
- Attempt to gain unauthorized access to other accounts or data
- Use the Platform for gambling, illegal substances, weapons, or other prohibited goods
9. Payment Protection and Dispute Resolution
Payment Protection: On a prepaid deal, the payment (including AdReady's 15% fee) is held by AdReady and is not released to the creator until the delivery is approved. On a Net 30 deal, nothing is charged at booking and the brand is invoiced on approval, as described in Section 5. Either way, no payment is released to the creator before the work is approved.
Delivery and Approval: Once a creator submits a completed read, the brand has 72 hours to approve it or open a dispute. Approval releases payment to the creator on a prepaid deal, and triggers the invoice on a Net 30 deal. If the brand does not respond within 72 hours, the read is approved automatically. If the brand opens a dispute, the deal is reviewed by AdReady staff, and no payment is released to either party until a determination is made. AdReady's determination is based on the original deal terms and Platform guidelines and is final.
Brand Cancellations and Creator Appeals: If a brand rejects or cancels a deal after a read has been submitted, the creator may submit an appeal for human review within 7 days of the cancellation. AdReady staff will review the appeal and make a binding determination. During the appeal period, no payment is released to either party until a determination is made.
Disputes: If a dispute arises for any other reason (e.g., non-delivery, disagreement over quality, or breach of deal terms), either party may file a claim within 7 days. AdReady will review the evidence and make a binding determination. All decisions are based on the original deal terms and Platform guidelines and are final.
10. Disclaimers and Limitation of Liability
No Guarantees: AdReady does not guarantee that you will find creators or brands to work with, that deals will be successful, or that any specific results will be achieved. The Platform is provided "as is" without warranty.
Third-Party Services: AdReady uses Stripe for payments, Clerk for authentication, and Airtable for data storage. We are not responsible for the performance or availability of these third-party services.
Creator Performance: AdReady does not guarantee creator performance, audience metrics, or delivery quality. Brands are responsible for vetting creators before making offers.
Limitation of Liability: AdReady's total liability to you for any damages arising from your use of the Platform is limited to the amount of fees you have paid to AdReady in the past 12 months. AdReady is not liable for indirect, incidental, or consequential damages.
You use AdReady at your own risk. We are a transaction facilitator, not a party to creator-brand agreements. We are not responsible for non-delivery, non-payment, creator behavior, content performance, or other issues between parties.
11. Termination
AdReady may terminate or suspend your account at any time for:
- Violation of these Terms of Service
- Illegal or fraudulent activity
- Non-payment or payment disputes
- Repeated disputes or complaints from other users
- Any other reason at our sole discretion
Upon termination, you lose access to your account and any pending offers are cancelled. Payments held for prepaid deals are released or refunded according to the deal status at the time of termination. Net 30 invoices that have been issued remain due on their terms.
12. Changes to Terms
AdReady may change these terms at any time by posting an updated version. We will notify you of material changes by email or by updating the "Last Updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the new terms. If you do not agree with changes, you may terminate your account.
13. Broadcast, Connected TV (FAST) & Audio Sponsorships
Some creators offer sponsorships on television, Connected TV / Free Ad-Supported Streaming TV (FAST) channels, podcasts, or radio ("Broadcast Inventory"). The following supplemental terms apply to any deal for Broadcast Inventory, in addition to the terms above. Where they conflict, these supplemental terms control for Broadcast deals.
Delivery and proof of airing
For Broadcast deals, "delivery" means the sponsored element aired the number of times specified in the deal (and any accompanying online posts were published) — not that any particular audience size was reached. The creator submits proof of airing, which may include episode or streaming links, an air-check screenshot or clip, confirmation of the airings that ran for the period, and links to any related social posts. The brand reviews and approves proof of airing under the same escrow and dispute-resolution process described in Section 8. Payment is released for airings that ran; if an airing is missed, the parties may schedule a make-good airing before the corresponding funds are released.
Audience and reach are estimates, not guarantees
Viewership, reach, impression, and demographic figures for Broadcast Inventory are estimates provided for context only. Unless a figure is expressly marked "verified" by a named third-party measurement provider (for example, Nielsen or Comscore), it is self-reported and unverified. Neither the creator nor AdReady guarantees any viewership, reach, or performance number. A Broadcast deal is fulfilled when the sponsored element airs as agreed; it is never conditioned on, and no refund or make-good is owed for, any reach or viewership figure not being met.
Multi-period terms and third-party distributors
Broadcast deals may run over a multi-month term, with airings and payments occurring across multiple periods; escrow may be funded up front and released in installments as each period's airings are verified. Broadcast Inventory depends on third-party networks and distributors (for example, a FAST channel, network, or streaming platform). Neither the creator nor AdReady is responsible for a distributor's decision to reschedule, preempt, or discontinue a program, or for changes to a distributor's carriage or platform availability. If a distributor change prevents agreed airings from running, the affected airings will be handled by make-good or a pro-rata release of the unaired portion from escrow.
