Terms of Service

1. Acceptance of Terms

By accessing and using AdReady (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. AdReady reserves the right to modify these terms at any time. Changes become effective upon posting to the Platform, and your continued use constitutes acceptance.

2. What AdReady Is

AdReady is a marketplace that connects creators with brands and advertisers for ad read sponsorships. We facilitate the booking, negotiation, and delivery of sponsored content deals directly between creators and advertisers. AdReady is not a talent agency and does not employ creators or brands on the marketplace. We are a transaction facilitator, not a party to any sponsorship agreement between creators and brands.

3. Account Types and Eligibility

AdReady supports three account types:

• Creators - Content creators who offer to deliver sponsored reads on their channels
• Brands - Advertisers seeking to book sponsored content directly with creators
• Agencies - Third parties managing creator campaigns on behalf of brands

To use AdReady, you must be at least 18 years old and have the authority to enter into binding agreements. You are responsible for ensuring your account information is accurate and current. You may not use the Platform if you are prohibited by law or these terms.

4. User Responsibilities

All Users

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to provide accurate, truthful information in your profile and in all communications
• You are responsible for all activity on your account, whether by you or someone else
• You agree not to use the Platform for any illegal, unlawful, or prohibited purpose
• You may not use the Platform to harass, abuse, or defame any person or entity
• You agree not to reverse-engineer, scrape, or automate access to the Platform

For Creators

• You own all accounts and channels you list on your profile
• You represent that you have the authority to accept sponsored content offers on those channels
• You agree to deliver sponsored reads in a professional manner and on time
• You will not submit false or inflated audience metrics
• You retain full creative control over how you deliver the read (within brand guidelines)
• You agree to disclose that content is sponsored in compliance with FTC regulations and platform rules

For Brands and Agencies

• You represent that you have the authority to make offers and execute deals
• You will not make offers with deceptive or misleading terms
• You agree to review and approve (or reject) delivered reads in good faith within the agreed timeframe
• You agree to pay creators in accordance with accepted deal terms
• You will not use the Platform to scrape creator data or contact creators outside the Platform to avoid fees
• You are responsible for all content in your briefs and compliance with advertising regulations

5. Payment Terms

For Brands: AdReady charges a 15% flat fee on all deal amounts paid to creators. This fee covers our transaction processing, escrow service, and dispute resolution. The fee is calculated on the total creator payment and is non-refundable once a deal is delivered and approved.

For Creators: There are no fees charged to creators. You receive 100% of the agreed deal amount when a completed read is approved by the brand.

For Agencies: Fees are negotiated separately and handled outside the marketplace.

Payment Processing: All payments are processed through Stripe. By using AdReady, you authorize Stripe to debit your payment method for the total amount (including the 15% service fee). Payment must be received before a creator is notified of an offer.

Refunds: Once a deal is delivered and approved, payment is released to the creator and is non-refundable. If a deal is cancelled before delivery, you may be eligible for a refund (minus service fees). Disputed refunds are resolved at AdReady's discretion.

6. Content and Intellectual Property

Creators retain all rights to their original content and channels. By posting content on your profile, you grant AdReady a non-exclusive, worldwide license to display that content on the Platform for promotional purposes.

Brands retain ownership of any briefs, creative guidelines, or materials they provide. Creators may not reuse brand materials without permission.

Neither party grants the other party any rights to use their name, likeness, or brand for marketing purposes beyond what is explicitly agreed in the deal terms.

7. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Engage in fraud, deception, or misrepresentation
• Harass, threaten, or defame any user or third party
• Infringe on any intellectual property rights
• Transmit viruses, malware, or harmful code
• Bypass security measures or interfere with Platform operations
• Undermine the Platform fee structure by arranging payments outside AdReady
• Post illegal, defamatory, or sexually explicit content
• Attempt to gain unauthorized access to other accounts or data
• Use the Platform for gambling, illegal substances, weapons, or other prohibited goods

8. Escrow and Dispute Resolution

Escrow Protection: When a brand submits an offer, the payment amount (including AdReady's 15% fee) is held in escrow until the creator submits the completed read. This protects the creator from non-payment and the brand from unreceived content.

Delivery and Approval: Once a creator submits a completed read, the brand has 48 hours to review and approve it. Approval releases payment to the creator. If the brand rejects the read, they may request revisions or cancel the deal, in which case the escrow is released back to the brand.

Disputes: If a dispute arises (e.g., non-delivery, non-approval, or disagreement over quality), either party may file a claim within 7 days. AdReady will review the evidence and make a binding determination. Decisions are based on the original deal terms and Platform guidelines.

9. Disclaimers and Limitation of Liability

No Guarantees: AdReady does not guarantee that you will find creators or brands to work with, that deals will be successful, or that any specific results will be achieved. The Platform is provided "as is" without warranty.

Third-Party Services: AdReady uses Stripe for payments, Clerk for authentication, and Airtable for data storage. We are not responsible for the performance or availability of these third-party services.

Creator Performance: AdReady does not guarantee creator performance, audience metrics, or delivery quality. Brands are responsible for vetting creators before making offers.

Limitation of Liability: AdReady's total liability to you for any damages arising from your use of the Platform is limited to the amount of fees you have paid to AdReady in the past 12 months. AdReady is not liable for indirect, incidental, or consequential damages.

10. Termination

AdReady may terminate or suspend your account at any time for:

• Violation of these Terms of Service
• Illegal or fraudulent activity
• Non-payment or payment disputes
• Repeated disputes or complaints from other users
• Any other reason at our sole discretion

Upon termination, you lose access to your account and any pending offers are cancelled. Funds held in escrow are released according to the deal status at the time of termination.

11. Changes to Terms

AdReady may change these terms at any time by posting an updated version. We will notify you of material changes by email or by updating the "Last Updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the new terms. If you do not agree with changes, you may terminate your account.
